Before you start:
- Complex share transactions: only use this tool if you have the in-house knowledge. If the company has only one share class, add the new share class on the Connections page first. Complex transactions do not produce automated minutes and cannot be e-filed.
- For assistance with share conversions or other corporate law matters, you can use the Legal PAC service provided by FCLS. Navigate to Documents > Legal PAC, enter your enquiry and contact details, and select Request a Call or Email Me. A Corporate Law Specialist will review your enquiry before getting in touch. The initial consultation is free of charge and carries no obligation to proceed. Any further fees, if applicable, will be quoted on a case-by-case basis.
- Quick Steps: make sure you are comfortable carrying out each task through Details, Connections, Filing and Documents first. If you only need to make one change, do it in Details or Connections instead.
- Compare with Companies House: after the initial upload, the software only syncs dates with Companies House. Anything filed directly with Companies House will not update automatically.
Complex share transactions
- Go to the Company menu, open the Share Centre and click Add a transaction.
- Select the transaction type (for example Conversion), choose the share class to convert from and to, and whether to convert some or all of the shares. Click Next.
- Check the ratio and rounding option, enter the date of the conversion, and click Next.
- Select the shareholders involved and how the shares are converted, then enter the number of shares and any certificate numbers.
- Click Confirm and make register entries.
Quick Steps
- Go to the Company menu and select Quick Steps.
- Enter each change with its date: appoint or resign a director, allot or transfer shares, and distribute a dividend. Click Next.
- Review the summary and click Save changes and make documents.
- File the forms from the Filing Centre. The zip file in your Downloads folder contains the forms, share certificate, stock transfer form and one minute covering all the changes.
Compare with Companies House
- Go to the Company menu, select Compare with Companies House, choose the Beta option, select the company and click View.
- Review the comparison. Companies House data is on the left and the software's data on the right; any field in red is a mismatch.
- Click the green arrow to bring the Companies House data across, then click Update data.
Next steps:
- After a complex transaction: check the Connections page for the updated shareholder information and PSC register, then download the SH02 from Filing Centre > Share forms and send it to Companies House.
- After Quick Steps: password-protect the zip file and send it to your client. Only one minute needs signing, and a copy is saved to your cloud library.
- Still stuck? Request a call through the Legal PAC service, or contact our support team.
